AdLINK subsidiary affilinet acquires majority shareholding in CibleClick, a leading affiliate network in France

Montabaur, December 14, 2005. The Management and Supervisory Boards of AdLINK Internet Media AG have decided today to acquire in two stages in the period to Spring 2006, through its subsidiary affilinet GmbH, a majority shareholding of 75% in CibleClick Performances S.A., a leading supplier for performance-based online marketing in France. affilinet GmbH will sign a corresponding agreement with the current shareholders of CibleClick.

CibleClick is a full-service provider in the field of affiliate marketing. CibleClick’s affiliate network boasts a well-developed product and a wide range of services for over 200 advertising clients and more than 25,000 publishers. Together with its subsidiaries in Germany and England, affilinet will now be represented in Europe’s three most important markets and is expected to develop into one of Europe’s leading affiliate networks.

For its fiscal year 2005, CibleClick expects to post revenues of approx. EUR 13.5 million and a positive EBIT result. The purchase price for the 75% stake is based on the company’s EBIT result for fiscal 2005 minus net debts. A first installment of just over EUR 10 million will be paid in the current year, while the smaller remaining installment is to be paid after the annual financial statements of CibleClick for 2005 have been confirmed. The founders and some of the employees will retain a 25% stake in CibleClick and continue to lead the company. The contracting parties have agreed call and put options for the shares held by the company’s founders. The purchase price for the remaining 25% stake is tied to the future results of CibleClick. The purchase is to be financed from the company funds and with the support of United Internet AG, the parent company of AdLINK Internet Media AG, at standard market conditions.
